Terms of Service — Hawkbase

1. Acceptance of Terms

By accessing or using the Hawkbase platform ("the Service"), operated by BASECAMP LABS, a SAS registered in France (SIREN: 101 988 111, registered office: 18 Rue du Bayle, 34000 Montpellier, France), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and BASECAMP LABS ("we," "us," or "our"). By creating an account or using the Service, you represent that you are at least 16 years of age and have the legal capacity to enter into this agreement.

2. Description of Service

Hawkbase is a community-driven software directory platform that enables users to:

Discover software products: Browse and search a curated directory of software tools across various categories.
Create user accounts: Register to participate in the community and access personalized features.
Manage product profiles: Claim and manage product pages, including descriptions, features, pricing, and media.
Write and read reviews: Share your experience with software products and read reviews from other community members.
Compare products: View side-by-side comparisons of software tools to make informed decisions.
Import product data: Use our import feature to bulk-add or update product information from external sources.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3. User Accounts

3.1 Registration

To access certain features of the Service, you must create an account by providing accurate, complete, and current information. You agree to update your account information promptly if it changes.

3.2 Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

3.3 Account Termination

You may delete your account at any time through your account settings. We reserve the right to suspend or terminate your account at our sole discretion, without prior notice, if we believe that you have violated these Terms or engaged in conduct that is harmful to other users, us, or third parties. Upon termination, your right to use the Service will cease immediately.

4. User-Generated Content

4.1 Your Content

The Service allows you to submit, post, and share content, including reviews, comments, ratings, product information, and other materials ("User Content"). You retain ownership of any intellectual property rights that you hold in your User Content.

4.2 License Grant

By submitting User Content to the Service, you grant BASECAMP LABS a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display your User Content in connection with operating and providing the Service. This license continues even if you stop using the Service, to the extent your User Content has been shared with others and they have not deleted it.

4.3 Prohibited Content

You agree not to submit User Content that:

Is false, misleading, defamatory, obscene, threatening, harassing, or discriminatory.
Infringes the intellectual property rights, privacy, or other rights of any third party.
Contains malicious code, viruses, or any other harmful components.
Constitutes spam, unsolicited advertising, or promotional material.
Violates any applicable law or regulation.
Impersonates any person or entity, or misrepresents your affiliation with any person or entity.
Is a fake review or rating designed to artificially inflate or deflate the reputation of a product.

4.4 Moderation Rights

We reserve the right, but have no obligation, to monitor, review, edit, or remove any User Content at our sole discretion, for any reason, including but not limited to content that we believe violates these Terms or is otherwise objectionable. We are not responsible for any User Content posted by users of the Service.

5. Product Listings & Rankings

5.1 Accuracy of Information

Hawkbase strives to provide accurate and up-to-date information about software products. However, we do not guarantee the accuracy, completeness, or reliability of any product information displayed on the Service. Product descriptions, pricing, features, and other details may be provided by third parties, users, or generated through automated processes and may contain errors or be outdated.

5.2 AI-Generated Content

Certain product descriptions, summaries, comparisons, and categorizations on the Service may be generated or enhanced using artificial intelligence. Such content is clearly labeled as AI-generated where applicable. While we strive for accuracy, AI-generated content may contain inaccuracies and should not be relied upon as the sole basis for any decision.

5.3 Rankings and Recommendations

Product rankings and recommendations on the Service are based on a combination of factors, which may include user reviews, ratings, popularity, relevance, and other criteria. Rankings do not constitute endorsements. We reserve the right to modify ranking algorithms at any time.

5.4 Product Claim Process

If you are the owner or authorized representative of a software product listed on Hawkbase, you may claim the product page through our verification process. Claiming a product gives you the ability to update product information and respond to reviews. We reserve the right to verify your identity and authority before granting access to a product page.

6. Intellectual Property

The Service, including its original content (excluding User Content), features, functionality, design, and source code, is and shall remain the exclusive property of BASECAMP LABS and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws of France, the European Union, and international treaties.

You may not copy, modify, distribute, sell, lease, or create derivative works based on the Service or any part thereof without our prior written consent. The Hawkbase name, logo, and all related product and service names, design marks, and slogans are trademarks of BASECAMP LABS. You may not use these marks without our prior written permission.

7. Disclaimer & Limitation of Liability

7.1 Disclaimer

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by applicable law, BASECAMP LABS disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant that the results obtained from using the Service will be accurate or reliable.

7.2 Limitation of Liability

To the maximum extent permitted by applicable law, BASECAMP LABS, its directors, employees, partners, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

Your access to or use of, or inability to access or use, the Service.
Any conduct or content of any third party on the Service, including defamatory, offensive, or illegal conduct of other users.
Any User Content or content obtained from the Service.
Unauthorized access, use, or alteration of your transmissions or content.

Nothing in these Terms shall exclude or limit our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law, including French consumer protection law.

8. Indemnification

You agree to defend, indemnify, and hold harmless BASECAMP LABS, its directors, employees, partners, agents, and affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:

Your use of the Service.
Your violation of these Terms.
Your violation of any third-party right, including intellectual property, privacy, or proprietary rights.
Any User Content that you submit, post, or otherwise make available through the Service.

This indemnification obligation shall survive the termination of your account and these Terms.

9. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts of Montpellier, France. However, if you are a consumer residing in the European Union, you may also bring proceedings in the courts of the EU Member State in which you are domiciled, and you benefit from any mandatory provisions of the law of that Member State.

In accordance with European Regulation No. 524/2013, you may use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

Before initiating any formal legal proceedings, the parties agree to seek an amicable resolution of any dispute. You may send your complaint to [email protected], and we will endeavor to respond within 30 days.

10. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the bottom of this page and, where appropriate, notify you by email or through a prominent notice on the Service.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the updated Terms, you must stop using the Service and delete your account.

11. Miscellaneous

11.1 Severability

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.

11.2 Waiver

The failure of BASECAMP LABS to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by BASECAMP LABS.

11.3 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and BASECAMP LABS regarding the use of the Service, superseding any prior agreements or understandings.
